StockRunway: Terms of Service

1. Who we are
StockRunway is a Shopify app that analyzes inventory and sales velocity to flag stockout risk on your products. It is provided by David D'Andreagiovanni, a sole proprietor (Italian VAT no. IT02105030494), Livorno, Italy (the "Provider"). Contact: support@getstockrunway.com.
2. Acceptance of terms
By installing StockRunway from the Shopify App Store and connecting it to your store ("Merchant", "you"), you accept these Terms of Service and the Privacy Policy. If you do not accept them, do not install the app, or uninstall it.
3. Description of the service
StockRunway analyzes your Shopify store's inventory and sales history to generate stockout-risk alerts, based on historical sales-velocity thresholds. Alerts are statistical estimates, not guarantees: reordering decisions always remain your responsibility.
4. Account and data access
To function, StockRunway requires read-only access to your store's products, inventory and orders via the Shopify Admin API. We never modify products, inventory or orders. The required scopes are listed on the app's Shopify App Store listing; details on what we read and how we handle it are in the Privacy Policy. Advanced features (stock per location and per variant, stock already on order) use optional read-only permissions (read_inventory, read_locations, read_inventory_purchase_orders, read_inventory_transfers, read_inventory_shipments) that you grant only if you turn them on in Settings and can revoke at any time; without them the app works as before. If you enter a supplier's email in Settings, you are providing third-party data to us: you are responsible for being allowed to use it for this purpose. We only use it for the "Email supplier" message and, on the Pro plan, to send the reorder list when you ask with "Send to supplier" (never automatically, at most 20 sends a day); the content of the order remains your decision and a matter between you and the supplier.
5. Plans, pricing and billing
StockRunway offers a free plan (up to 25 monitored products) and paid plans: Starter (up to 500 monitored products), Growth (up to 2,000 monitored products), and Pro (unlimited products), billed through Shopify Billing on a monthly or annual basis. Current prices are always shown on the app's "Plans" page. During any launch promotional periods, clearly communicated in-app, some paid features may be made available for free for a limited time.
6. No guarantee on results
The alerts generated are estimates based on available sales history and do not constitute a guarantee of accuracy. Reordering decisions remain the merchant's responsibility: alerts are an informational aid, not an automated decision-making system acting on your behalf.
7. Limitation of liability
To the maximum extent permitted by applicable law, the Provider is not liable for indirect damages, loss of profit or data arising from the use or inability to use StockRunway. The service is provided "as is", with no guarantee of absolute accuracy of the alerts generated or of continuous availability. In any case, except for willful misconduct or gross negligence, the Provider's total liability is limited to the amount you paid for StockRunway in the 3 months before the event that caused the damage.
8. Intellectual property
StockRunway, its code, design, and content remain the property of the Provider. Decompiling, copying or reselling the service without written authorization is not permitted.
9. Service availability
The service is provided "as is", with no guarantee of continuous availability. In case of prolonged outages, we will do our best to inform you promptly by email or an in-app notice. If we decide to permanently shut down StockRunway, we will notify you at least 30 days in advance, by email or an in-app notice.
10. Suspension and termination
The Provider may suspend or terminate access to the service in case of misuse, non-payment, or breach of these Terms. You may downgrade to the free plan or uninstall the app at any time from the app's "Plans" page or the Shopify admin: store data is handled as described in the Privacy Policy.
11. Changes to these Terms
We may update these Terms; substantial changes will be communicated by email or an in-app notification at least 15 days before they take effect.
12. Governing law and jurisdiction
These Terms are governed by Italian law. For Merchants who qualify as consumers, the court of the consumer's place of residence or domicile has jurisdiction where mandatorily required by the Italian Consumer Code; in all other cases, jurisdiction follows the applicable rules based on the Provider's place of business.
